Hexagon to Acquire Waygate Technologies in $1.45 Billion Deal

Hexagon AB, an industrial technology firm focused on sensors, software, and autonomous solutions for precision measurement and “digital reality,” announced on 13 April that it will acquire Waygate Technologies from Baker Hughes for approximately US$1.45 billion.

The deal expands Hexagon’s footprint into the nondestructive testing (NDT) market, adding internal inspection capabilities to its existing precision measurement portfolio. The company serves customers globally across sectors such as manufacturing, infrastructure, cities, defense, mining, and agriculture.

Hexagon operates worldwide, with its headquarters in Stockholm, Sweden, and a broad international footprint spanning more than 50 countries and hundreds of offices across Europe, the Americas, Asia-Pacific, and Africa. This global presence supports a range of activities, including research and development, manufacturing, sales, and customer support.

Waygate Technologies develops inspection systems for aerospace, automotive, energy, and industrial applications, including 2D X-ray and 3D computed tomography (CT) systems, as well as remote visual inspection (RVI) tools such as video borescopes for aircraft engine maintenance. Headquartered in Germany, the business operates in 25 locations worldwide, employs around 1500 people, and generates roughly $630 million in annual revenue, with a geographically diversified customer base.

Hexagon said the acquisition will strengthen its Manufacturing Intelligence division by linking surface metrology with subsurface inspection. The combination brings together coordinate measuring machines and software with Waygate’s CT and radiography technologies, supporting more integrated quality control workflows.

Within Waygate, the radiography and RVI segments—together accounting for about $330 million in revenue—are expected to be key growth drivers. The radiography unit includes CT systems supported by in-house X-ray tube manufacturing, while the RVI business holds a strong position in the aerospace maintenance, repair, and overhaul market.

Other segments, including ultrasonic testing and imaging solutions, will be treated as stability businesses, with Hexagon indicating potential performance improvements or strategic review.

The company also highlighted opportunities to improve margins through manufacturing optimization, including localization in China, and cross-selling into its global installed base.

The transaction is expected to close in the second half of 2026, subject to regulatory approvals.
